Cheryl L. Coon
For over 20 years, Cheryl L. Coon has advised clients on a broad spectrum of business, health law, corporate, and environmental issues. In the healthcare arena, Ms. Coon’s practice generally involves advising health care related clients (physician and dental groups, ambulatory surgical centers, imaging centers, medical SPAs, for example) with regard to compliance with federal and state laws. She has experience in evaluating proposed transactions with regard to the federal Affordable Care Act ("Obamacare"), Stark (anti-referral) and Anti-Kickback laws, the related safe harbors, False Claims Act issues, and various state licensing laws, and can assist with HIPAA and HITECH issues. She has experience in professional entities and their formation, and can assist with drafting related corporate documents. She also can help with Medicare overpayments and other governmental or third party payment issues. She has also assisted in certification and licensure issues related to Texas non-profit health organizations. Ms. Coon also can assist with the sale or purchase of health care businesses and related issues such as fair market value valuations.
Ms. Coon also has experience in handling due diligence in multi-million-dollar real estate and corporate transactions, and she can assist in drafting and review of related transaction documents. Her corporate/business practice also includes assisting clients with business issues from forming and dissolving entities to drafting or negotiating various business related documents such as non-competition agreements, consulting agreements, asset and stock purchase agreements, non-compete agreements, buy/sell agreements, commercial leases, management agreements, marketing agreements, confidentiality agreements and employment agreements. She also has experience in certification of minority and women owned businesses, and with private placement memorandum and related federal and state blue sky laws.
Ms. Coon’s environmental practice includes counseling clients on a broad array of issues from asbestos and lead paint to underground storage tanks. She has assisted clients with CERLA or Superfund litigation, disclosure, and settlements, and with remediation under Texas laws, including under the Texas Voluntary Cleanup Program, Innocent Owner Certification program, and Municipal Setting Designation Program. Ms. Coon has experience in working with environmental consultants and experts and can assist clients in selecting a consultant, contracting with the consultant, and reviewing related reports. She has conducted environmental due diligence for significant transactions, including acquisitions of Manhattan REIT properties, solid waste, recycling and disposal facilities, commercial airline companies, defense contracting companies, paper companies and copper tubing and wiring manufacturing companies. Ms. Coon also can assist with issues related to determinations of wetlands, endangered species and storm water permitting.
Ms. Coon is licensed in Texas, having graduated from Southern Methodist University, Dedman School of Law magna cum laude. Prior to going to law school, she worked at several hospitals in Texas, including Baylor University Medical Center Hospital in Dallas, as an American Society of Clinical Pathologist certified medical technologist.
